OUR PAID AFFILIATES TERMS & CONDITIONS 

Angel 8 Organization, Inc. 501(c)(3) Tax Exempt Status

These Paid Affiliates Terms & Conditions (“Agreement”) govern participation in the affiliate program of Angel 8 Organization Inc. DBA Angel 8 Wings Marketplace (hereafter referred to as "Company," "we," or "us"). By enrolling in this program, you ("Affiliate") agree to be bound by these terms, including compliance with applicable third-party policies such as Amazon Associates and Walmart Affiliate Program requirements.

Failure to adhere to this Agreement may result in suspension or termination of affiliate status and forfeiture of commissions.

1. AFFILIATE PROGRAM OVERVIEW

The Angel 8 Wings Marketplace Paid Affiliates Program allows approved affiliates to earn commissions by promoting designated products through unique tracking links. Affiliates are responsible for ensuring that they comply with all applicable third-party policies when promoting and marketing products.

The Company reserves the right to modify or discontinue the program at any time, including commission rates, payout structures, and eligibility criteria.

2. COMPLIANCE WITH THIRD-PARTY AFFILIATE POLICIES

All affiliates must adhere to the Amazon Associates and Walmart Affiliate Program guidelines, including:

Any violation of third-party policies will result in immediate termination from our program and forfeiture of commissions.

To participate in our affiliate program, applicants must:

✅ Provide accurate and verifiable contact information.
✅ Adhere to ethical promotional practices.

The company reserves the right to approve, deny, or revoke any affiliate’s participation at its sole discretion.

4. COMMISSION STRUCTURE & PAYOUTS

• Earnings: Affiliates earn commissions on qualifying purchases through their unique affiliate links.

• Payout Schedule: Commissions will be paid monthly or biweekly via with Angel 8 Wings Stable Coins tied to real assets that can be exchange for any currency that you prefer like USD.

• Changes: Company may update commission rates, eligible products, or payout methods at any time.

Affiliates must maintain an active and compliant account to receive payouts.

5. PROHIBITED ACTIVITIES

Affiliates are strictly prohibited from:

🚫 False or Misleading Advertising – Misrepresentation of products or the Company is not allowed.
🚫 Brand Bidding & Unauthorized Ads – Bidding on Company’s trademarks, brand names, or similar variations in paid search ads is not permitted.
🚫 Spam & Fraudulent Practices – Email spam, cookie stuffing, fake referrals, or deceptive tactics are prohibited.
🚫 Unauthorized Use of Trademarks – Affiliates may not use Company logos, branding, or copyrighted material without written approval.

Violations may result in immediate termination and loss of unpaid commissions.

6. INTELLECTUAL PROPERTY & BRANDING GUIDELINES

Affiliates may only use Company-approved marketing materials provided through our official affiliate portal. Unauthorized modifications or distribution of branding assets are strictly prohibited.

When promoting Amazon or Walmart products, affiliates must strictly adhere to their respective branding and advertising policies.

7. TERMINATION & MODIFICATIONS

Angel 8 Organization Inc. DBA Angel 8 Wings Marketplace reserves the right to:

🔹 Modify this Agreement at any time with or without prior notice.
🔹 Suspend or terminate an affiliate account for non-compliance.
🔹 Withhold commissions in cases of suspected fraud, policy violations, or unethical practices.

Continued participation after any updates signifies acceptance of the revised Agreement.

8. LIABILITY & INDEMNIFICATION

Company shall not be liable for:

• Loss of earnings due to third-party policy changes.

• Unpaid commissions due to affiliate guideline violations.

• Tracking issues caused by third-party platforms.

Affiliates agree to indemnify and hold harmless the Company from any claims, damages, or losses related to their participation in the affiliate program.

9. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by and interpreted under the laws of Virginia/Augusta]. Any disputes shall be resolved in the courts of Augusta County General District Court, and both parties agree to seek resolution through mediation or arbitration before pursuing legal action.
